These Terms of Service ("Terms") govern your access to and use of the website hspsystems.io (the "Site") and the services provided by Harley Seelbinder Podcast LLC ("we," "us," or "our"), including but not limited to lead response systems, CRM infrastructure, automation setup, AI assistant configuration, form building, platform management, and related technology solutions (collectively, the "Services"). By accessing the Site or purchasing Services, you ("Client," "you," or "your") agree to be bound by these Terms.
Harley Seelbinder Podcast LLC provides done-for-you lead response infrastructure for service businesses. Our Services may include, but are not limited to:
The specific scope of Services will be discussed and agreed upon during the discovery and onboarding process. Services not explicitly included in your package are not covered unless separately purchased as add-on modules.
Upon engagement, we will create a sub-account for your business on our managed platform. You will receive login credentials and access to your CRM, pipeline, contacts, forms, and automations. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
The managed platform is hosted and maintained by Harley Seelbinder Podcast LLC. We retain administrative access to manage infrastructure, automations, and system configurations on your behalf. Your data — including contacts, leads, conversations, and pipeline information — belongs to you. Upon termination, we will provide a reasonable opportunity for you to export your data.
Setup Fees: One-time setup fees are due upon agreement to proceed with Services. Setup work begins after payment is received. Setup fees are non-refundable once work has commenced.
Monthly Platform Access Fees: Recurring monthly fees cover your sub-account access, automations, phone/SMS/email sending infrastructure, and platform maintenance. Monthly fees are billed on a recurring basis through Stripe or GoHighLevel's payment system. You authorize us to charge your payment method on file for all applicable fees.
Add-On Modules: Additional modules (Reviews + Reactivation, Phone Routing/IVR, Quoting + Intake, Hiring Pipeline, Internal Ops, etc.) are one-time fees due upon agreement to proceed. Add-on work begins after payment is received.
Support Retainers: Optional monthly support retainers are billed on a recurring basis and can be canceled with 30 days written notice.
Usage-Based Costs: Your platform sub-account may incur usage-based costs for SMS messages, phone calls, email sends, and AI usage. These costs are passed through at platform rates and are billed separately or as part of your monthly access fee, depending on your plan. You are responsible for monitoring and managing your usage.
Late Payments: If payment fails or is overdue by more than 7 days, we reserve the right to pause automations, restrict platform access, or suspend Services until the balance is resolved. We will make reasonable efforts to notify you before taking such action.

Our Services include automated SMS/text messaging capabilities. You are solely responsible for ensuring that your use of SMS messaging complies with all applicable laws and regulations, including:

Harley Seelbinder Podcast LLC provides the technology and automation infrastructure. We do not control and are not responsible for the content of messages you send through the platform or the consent practices of your business. You agree to indemnify us against any claims arising from your SMS messaging practices.
Our Services may include configuration of an AI-powered assistant trained on your business information. While we make reasonable efforts to ensure accuracy, AI responses may occasionally contain errors, inaccuracies, or outdated information. You are responsible for reviewing and updating the knowledge base used to train the AI assistant. Harley Seelbinder Podcast LLC is not liable for any commitments, representations, or errors made by the AI assistant in conversations with your leads or customers.
Your Content: You retain ownership of all content, data, branding, logos, images, and business information you provide to us. By providing this content, you grant us a limited license to use it solely for the purpose of delivering Services.
Our Systems: The workflows, automations, templates, form structures, pipeline configurations, and system architecture created by Harley Seelbinder Podcast LLC are our intellectual property. You receive a license to use these systems for the duration of your active engagement. You may not resell, redistribute, or white-label our systems to third parties without written permission.
Platform: The underlying platform (GoHighLevel) is owned by HighLevel Inc. and subject to their terms of service.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, including but not limited to business strategies, pricing, client lists, system configurations, and technical processes. This obligation survives termination of these Terms.
To the maximum extent permitted by law:
You agree to indemnify, defend, and hold harmless Harley Seelbinder Podcast LLC, its owners, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your SMS/text messaging or email marketing practices; (e) any content or information you provide through the platform; or (f) any dispute between you and your customers, leads, or contacts.
Term: These Terms are effective upon your first use of the Site or purchase of Services and remain in effect until terminated.
Termination by You: You may cancel your monthly platform access and support retainers at any time with 30 days written notice. One-time setup fees and add-on module fees are non-refundable once work has commenced. Upon cancellation of platform access, your sub-account and automations will be deactivated.
Termination by Us: We may suspend or terminate your access to Services if you: (a) fail to pay fees when due; (b) violate these Terms; (c) use the platform for unlawful or harmful purposes; or (d) engage in abusive or fraudulent behavior. We will make reasonable efforts to notify you before termination except in cases of egregious violations.
Effect of Termination: Upon termination, your access to the managed platform, automations, and sub-account will be deactivated. You will have 30 days to export your contact data and records. We are not obligated to maintain your data beyond this period. Any outstanding fees remain due and payable.
Setup Fees: Non-refundable once work has commenced. If we have not begun work on your system, you may request a full refund within 48 hours of payment.
Monthly Fees: Monthly platform access fees are non-refundable for the current billing period. You may cancel future billing with 30 days notice.
Support Retainers: Non-refundable for the current billing period. Cancel with 30 days notice to stop future billing.
Add-On Modules: Non-refundable once work has commenced.
Any disputes arising from or relating to these Terms or Services shall first be attempted to be resolved through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration in the State of Michigan, in accordance with the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Each party shall bear its own costs of arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of laws principles. You agree to submit to the personal jurisdiction of the courts located in Ottawa County, Michigan for any legal proceedings related to these Terms.
Your use of Services involves third-party platforms that have their own terms of service. By using our Services, you also agree to comply with the terms of:
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or posted on the Site with an updated "Last updated" date. Your continued use of the Site or Services after changes are posted constitutes acceptance of the modified Terms. If you do not agree with the changes, you must discontinue use of the Services.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Harley Seelbinder Podcast LLC regarding the use of our Site and Services, and supersede any prior agreements or understandings.
